Licencing
SLicencing

This licensing sheet is connected to the End User License Agreement of mobiaccess registered trademark of Infomatix (hereinafter ?the Product?) and it shall be interpreted and used in complete accordance with the EULA accepted by you with downloading the Product. Infomatix shall have the right to change and modify the terms and conditions of the licensing sheet. The updated and applicable terms and conditions shall be available on www.mobiaccess.net.

Definitions:

Application: one database oriented end-user application running on supported mobile devices realized with mobiaccess development framework. Add-ins have to be purchased and can be developed separately and individually, according to the rules described in the SDK.

CRM: Customer Relationship Management (CRM) is a multifaceted process, mediated by a set of information technologies, that focuses on creating interactive communication, dialogue with customers so that the firms have an intimate knowledge of their needs, wants, and buying patterns.

ERP: Enterprise Resource Planning (ERP) systems attempt to integrate several data sources and processes of an organization into a unified system. A typical ERP system will use multiple components of computer software and hardware to achieve the integration. A key ingredient of most ERP systems is the use of a unified database to store data for the various system modules.

SDK/Software Development Kit: Documentation with valid information for the rules of development.

Server license: License key valid for one operating Sync Server of the related end-user application/one ERP system. As a non independent part entity integrated in the solution, cannot be used/given/sold separately from license packages.

License Administration/License pool management: Means the right of Infomatix to administer, manage and follow up your purchases of client licenses to third party users. Sold license pools can be managed by both parties.

Registration (activation details): with downloading the Product You are automatically registered in the systems of Infomatix Ltd. All terms and conditions related to the Product version shall be applicable after the automatic registration. If you use the Product?s any version without having a valid registration code it shall be regarded as an illegal use of the Product. Before any commercial use of developed application You must register (activate) it. For the activation You have to Pay a registration fee according to the actual prices defined by InfomatiX. You must have valid client licenses before starting to use the Product or to sell your application to third party users.

MVD: MobiVison Desktop

Boxed solution: means a ready to be used mobile application to serve the purposes and needs according to the solution?s user guide and function list. These solutions have to be installed and run according to the user guide. No further customization is needed.

License packages:

mobiaccess mobile Development Framework- Evaluation version license package: ?free? license for smaller developer companies or communities.

Target group: individual developers, SMEs, start-up, spin-off/spin-out companies, researchers.

Costs:

Registration fee: per developed application

Client License fee: per client

Content:

1 Developer license:
is valid for development of one application, with unlimited number of tables to be synchronized; Valid for one SyncServer+ MVD license

Restrictions for license use:

With 1 dev. License only one person (developer) can develop for all supported platforms. With this license you can develop one full application for one client. In case of sales/distribution you should be pay for the activation of the application and for further client licenses.

Nr of allowed clients

Client license
Client side licenses should be purchased in packages (license pools).
10; 20; 30....100
In case of less then 10 licenses client licenses shall be purchased per piece.
Without client licenses application is not functioning on the client side.

License administration/License pool management:

Client Licenses shall be registered by Infomatix through the mobiaccess licensing portal. You can manage your license pools to third party users, after purchasing.

Expiration:1 year

I. b. mobiaccess mobile Development Framework- ?Commercial version? Developer seat license package: license for software developer companies.
Target group: individual developers, SMEs, start-up, spin-off/spin-out companies, researchers.

Costs:

Developer seat license fee: per developer.

Client License fee: per client

Content:

1 Developer seat license:
is valid for development of one application, with unlimited number of tables to be synchronized;
Valid for one SyncServer+ MVD license
Includes 5 client license

Restrictions for license use:

With 1 dev. License only one person (developer) can develop for all supported platforms.
With this license you can develop one full application for five client.
A client license fee shall be paid for further client licenses.

Client Licenses shall be registered by Infomatix through the mobiaccess licensing portal. You can manage your license pools to third party users, after purchasing.

Expiration:1 year

II.a. mobiaccess mobile solutions -
Customized Solution license package: Solutions developed by InfomatiX Ltd tailored on your individual needs and purposes according to individual contracts.

Target group: companies with need for special mobile solution that is tailored to special needs

Costs:

Central Mgmt interface license fee
Client license fee: per clients.
Server license fee: (included in central mgmt interface license)

Content:

Central Mgmt interface:
Valid for one SyncServer+ MVD license. This is a Developer seat license, without any customization (e.g. reports, new interfaces).

Client license
Client side licenses should be purchased in packages (license pools).
10; 20; 30...100
In case of less then 10 licenses client licenses should be purchased per piece.
Without client licenses application is not functioning on the client side.

License administration/License pool management:

Licenses shall be registered by InfomatiX through the mobiaccess licensing portal.

Expiration: (guaranteed timeframe) 1 year
Distribution rights: terms and conditions, pricing defined in individual contract.

II.b. mobiaccess boxed mobile solutions:
Boxed solution license package : Boxed Solutions developed by InfomatiX Ltd.

Target group: companies with need for targeted mobile solutions with no further customization.

Costs:

Central Mgmt interface license fee
Client license fee: per clients.
Server license fee: (included in central mgmt interface license)

Content:

Central Mgmt interface:
Valid for one SyncServer+ MVD license. In case of boxed solutions, this is a customized management interface for the exact purpose of the boxed solution.

Client license
Client side licenses should be purchased in packages (license pools).
10; 20; 30...100
In case of less then 10 licenses client licenses should be purchased per piece.
Without client licenses application is not functioning on the client side.

License administration/License pool management:

Licenses shall be registered by InfomatiX through the mobiaccess licensing portal.

Expiration: (guaranteed timeframe) 1 year
Distribution rights: terms and conditions, pricing defined in individual agreement.

III. mobiaccess mobile ENTERPRISE solutions- enterprise license packages: Integrated solutions developed by InfomatiX Ltd. Mobile extension to an existing ERP/CRM system.
Target group definition: medium and large- size companies.
Terms and conditions are settled on a case by case basis, according to individual project caliber and background in separate contracts.

Costs:

Enterprise package: Flat rate based on individual contract
Premium enterprise package: Flat rate based on individual contract

Content:

Enterprise package: Valid for one solution, for one supported technical platform, for e.g. Windows Mobile) with unlimited clients.
Consisting of MVD license (not mandatory), SyncServer license, and unique application on server side.
Client side: number of licenses should only be registered.

Premium enterprise package: Valid for one solution for all supported platforms covered in the flat rate agreement, unlimited clients.
Consists of MVD license (not mandatory),SyncServer license, and unique application on server side.
Client side: licenses should be only administrated.

License administration/License pool management:

Based on contract.
Expiration:
Based on contract. Distribution: Distribution activities settled in separate agreements signed with InfomatiX.
